AKIVA COSMETICS, headquartered in FORTALEZA-CE, responsible for the business known as Akiva Cosmetics Life Business Network, with legal personality and rights

andobligations, hereinafter referred to as Akiva Cosmetics Life Business Network, and the Holder, duly qualified, hereinafter referred to as Independent Entrepreneur, agree to the following:

Clause

First

–

Objective

1.1 - The purpose of this Contract is to distribute bonuses to distributors and consumers of products produced and/or marketed by the Akiva Cosmetics Life Business Network through the system known as Multi-Level Marketing of Sales and Consumption, where each Entrepreneur registers and recruits new Entrepreneurs, building a sales and consumption organization of services and/or products, with a percentage of the monthly movement being calculated for crediting to current accounts in the following month in the form of Bonuses.

Clause Second – The Independent Entrepreneur2. 1. - To become an Independent Entrepreneur, one must be over 18 years old, be registered, and make the payment for the initial Membership Kit, used as a work tool. They receive an identification code and Site Login to access internet-based management tools to build their organization of independent consumers and gain access to lectures, support,

seminars, technical consultations, or any event promoted by the

Akiva Cosmetics

Business Network.

a)All sets of instructions, manuals, and regulations will be available on the Akiva Cosmetics Business Network website, from where they can be used and/or

downloaded, with other materials being developed at its discretion.

b)The Independent Entrepreneur, duly registered, qualifies as an Independent Entrepreneur as they develop an organization within the Marketing system and, in regular standing, will have access to the services and products provided by the Akiva Cosmetics Business Network and will participate in commissions in the form of bonuses distributed according to the levels of formation of the amounts, as well as

prizes of any kind promoted by the Akiva Cosmetics Business Network.

c)A regular situation is understood as a Consumer qualified as an Independent Entrepreneur who is fully up-to-date with their commitments to the Akiva Cosmetics Business Network, i.e., who has proven in the system the sale, consumption, or minimum purchase of $ 180.00 in the current month to be entitled to the commission for that month. For affiliates of the Akiva Cosmetics Intelligent system, Free affiliates will not participate in network commissions until they upgrade to one of the Start memberships or higher. If this does not happen, the commission will be reset by the system and will not be accumulated for the following month.

d)Only a distributor qualified and recognized by the company, without any ethical issues with the company or their network colleagues, will be considered a distributor eligible to represent the company at any official event. Furthermore, only those distributors who are exclusively independent distributors of Akiva Cosmetics, i.e., who do not work with other marketing systems that are direct competitors of the company, will participate in campaigns and bonuses for awards and trips. While distributors are not prohibited from engaging in as many marketing systems as they wish, the company reserves the right to honor affiliates who dedicate themselves exclusively to

same.

Objective

3.1. Any amount paid by the Entrepreneur represents only the price of the product and/or service, which may include amounts for shipping, network allocation, and operational and management costs, etc.

3.2. - The Independent Entrepreneur, observing the provisions of this contract, may conduct their business as they wish, including engaging in parallel activities with or without an employment relationship. They do not have any employment relationship, therefore not adhering to any rules of schedule, place, or others that denote coordination or subordination in their activities necessary for the ideal execution of their business, and are not, therefore, employees,

representatives, or agents of the Akiva Cosmetics Business Network.

3. 3. - The Independent Entrepreneur will not be required to purchase any products for stock purposes.

3. 4. - The Independent Entrepreneur will develop their business following some conduct rules:

a)It is prohibited to use, contract, or obligate oneself in the name of the Akiva Cosmetics Business Network, its trademarks, patents, or logos, reproducing or altering promotional materials, products, or packaging, in whole or in part. If any material is altered, it will be analyzed by the company, and if approved, it may be used by any independent distributor, including being used by the company as official material, without granting any gain or

compensation

to

the

producer

for

the same.

b)It is prohibited to sell Akiva Cosmetics Business Network products in commercial establishments, fairs, or any other type of commercialization without the company's authorization.

c) Following specific laws, the Marketing of Sales and Consumption and/or Akiva Cosmetics Business Network Products may be disclosed in any type of media.

I - It may be disclosed via the internet through person-to-person contact or in groups, provided it is a group of their personal relationship, prohibited by the spam method) II - Other means of communication may be used with the express authorization of the

Akiva Cosmetics Business Network;

d) It is prohibited to assign, transfer, or negotiate rights or obligations of any nature in the name of the Akiva Cosmetics Business Network.

Clause Fourth– The Explanatory Manual of Consumption Marketing

(Policies, Procedures, and Bonus Plan)

4.1. - The Explanatory Manual of Sales and Consumption Marketing and the Tables that integrate this contract may be altered by the Akiva Cosmetics Business Network without the need for prior communication to the Independent Entrepreneur;

4.2. – Bonus payments will occur by the last business day of each month, through credit on the Akiva Cosmetics Card or others, based on sales or consumption of the previous month calculated between the first and last day of the month, only considering payments made in the month of calculation, referring to products (except support materials that are not computed as points;

4.2.1 -The bonus balance may undergo changes, either increasing or decreasing, due to consumption or cancellation, where the system will automatically credit or debit the corresponding amount. Also, due to daily maintenance and system instability, the bonus statement may present values subject to corrections, where the presented value may not correspond to the actual amount the affiliate will receive, and no compensation of any kind will be due to the Entrepreneur in any case.

Independent, except for the payment of remaining bonuses, which will be in products, if applicable.

4. 2. 1. 1 - The Akiva Cosmetics Business Network may, at its discretion, establish

monthly advances under its own rules; The payment of any extra prizes is subject to specific regulations;

4.3. - If there are credits of any nature in favor of the associate, they authorize the Akiva Cosmetics Business Network to debit sufficient amounts from their account to cover their self-sustainability, and, if applicable, the respective products for sale or monthly consumption will be sent to them, as well as the deposit of the remaining credits.

4.3.1 - Under no circumstances will it be possible to receive commissions and/or prizes outside the rules of this Contract.

Clause Fifth – Membership, Permanence, Cancellation, and Termination

5.1. - The term of this Contract is 12 (twelve) months from the date of signing and will be automatically renewed with the clauses in effect unless

there

is

a

manifestation

from

one

of

the parties

to the contrary.

5.2. - Registration is preferably done online on the Akiva Cosmetics website, and network allocation and relationships with Akiva Cosmetics are conditioned to it

regardless

of

payment

of

a bill.

a)The allocation in the Sales and Consumption Marketing network will require the payment of the basic or advanced Kit in advance, which must be done through deposit

or bill payment within the deadline and conditions of Clause 5. 2.

b)Always improving Marketing and seeking its growth, Akiva Cosmetics reserves the right to change, without prejudice to the organization, the membership criteria.

5. 3. - Due to the organization being an open and forced matrix where each Independent Entrepreneur can have as many associates as they want directly linked, the Akiva Cosmetics Business Network will cancel the contract or remove the

registration,

regardless

of

notice

when:

a)- Registration that remains for more than 7 days without the bill payment being completed may be removed, and the return after payment will not be guaranteed

to

the original

position

in

the network;

b)- The contract may be canceled in case of more than one overdue payment (more than 1 month without sales or minimum monthly consumption of $ 50.00)

c)- The registration or contract canceled or suspended due to non-payment will have its position in the network replaced by another who pays and assumes possible descendants found or not, at the administrator's discretion.

5.4. - The Independent Entrepreneur or candidate, once registered in the System with a membership, cannot change membership under any circumstances

for

a period

of

6,

(six),

months.

5.5. - The Akiva Cosmetics Business Network does not reserve exclusivity regarding the development of its business; however, to preserve the organization and the work of its associates, it reserves the right to cancel the contract of the Entrepreneur who is proven to entice or attempt to entice another entrepreneur to another business that they have migrated to or are participating in simultaneously, regardless of whether they were the one who referred them to the Akiva Cosmetics Business Network or not;

5.6. - In the event of contractual termination, no compensation of any kind will be due to the Independent Entrepreneur, except for the payment of remaining bonuses

which

will

be

in

products, if

applicable.

5.7. - The Independent Entrepreneur who chooses to terminate this contract must do so expressly and provided they are up to date with their obligations, it will not result in any charge or burden.

5.8. - For sponsor and network changes, the following requirements apply:

5.8.1- In case of a sponsor error at the time of registration, the correction will only be made within 3 business days after the registration. The sponsor who received the affiliate must send an email to the company informing about the error and authorizing the correction. This email must be sent from the same registration email. If the request is not made within this period, a signed and notarized declaration will be required for the correction within 30 days. If the request is not made within this new period, as it is an administrative process, the company reserves the right to charge an administrative fee equivalent to the membership fee for which the ID was previously activated. For example: if the ID was activated in the Start system for $ 250.00, the fee will be this amount for the correction to be carried out by the company.

Clause Sixth – Taxes6. 1. - The Akiva Cosmetics Business Network is authorized to deduct all taxes and social contributions levied or that may be levied on bonus payments due to the Independent Entrepreneur at the federal, state, municipal, and social security levels.

Clause Seventh - Guarantees, shipping, receipt, and return of products

6.- The guarantees related to the products will be governed by the legal provisions contained in the Consumer Protection Code. And, except for the conditions of the Entrepreneur, within the legal limits, it is established: a) If there is a change in the choice of the product after its receipt, as well as a declaration from the Post Office of having visited more than twice without finding the recipient or a person responsible for receiving the product, the Independent Entrepreneur assumes the cost of reshipping, and the product will only be resent after the Akiva Cosmetics Business Network receives the postage value and the product to be exchanged, if applicable.

b)Regarding the return or withdrawal of the purchase, Akiva Cosmetics will comply with the laws contained in the Consumer Protection Code, where it will refund the amount paid to the affiliate provided that the product is returned sealed and in perfect condition, and delivered to one of our Akiva Cosmetics distribution centers. If the affiliate lives far from the Akiva Cosmetics distribution centers, they will bear

the

costs of

returning the

product to

the Akiva Cosmetics factory.

Seventh

-

General

Considerations.

7. - To become an Independent Entrepreneur, one must be invited by another Entrepreneur and accepted by the Akiva Cosmetics Business Network; a) The Akiva Cosmetics Business Network reserves the right to refuse any

Membership Proposal at its own discretion;

b)The value and content of the membership kit, if applicable, to maximize network results, may be changed without prior notice at the discretion of the

Akiva Cosmetics

Network

Life;

c)Filling out the Membership Proposal to the Organization implies understanding the Multi-Level Marketing System and

acceptance of the Organization's Policies and Procedures regulations;

d)Entrepreneurs cannot assign themselves titles that imply any official function within the Akiva Cosmetics Business Network.

e)The Entrepreneur commits not to make false promises of quick enrichment without the corresponding effort. The Akiva Cosmetics Business Network reserves the right to terminate this Contract

without

any

charge

in

such

case;

f)The Akiva Cosmetics Business Network may create a leadership council to deliberate on ethical issues within the network to ensure its sustainability;

Clause Eighth - Transfer of rights to inheritance

8.- The right to transfer rights to third parties and legal heirs is guaranteed by law, provided it is formalized in writing and sent to Akiva Cosmetics at least 30 days in advance and upon payment of a fee equivalent to a membership kit for administrative expenses, as detailed below:

8.1- In case of sale of ID and network position, the affiliate must first send an email informing the company about the transaction they are making or wish to make. The company will analyze the entire transaction and reserves the right to authorize or not the continuation of the negotiation. After formal authorization by the company, the affiliate will proceed with the negotiation. Once the purchase and sale agreement of the ID and network is finalized, they must request a receipt declaration with all the seller's data, including ID, signed and notarized, and immediately send it to the company's registration department requesting the necessary changes. As it is an administrative process, the company reserves the right to charge an administrative fee equivalent to the membership fee for which the ID was previously activated. For example: if the ID was activated in the Start franchise system for $ 250.00, the fee will be this amount for the correction to be carried out by the company.

Jurisdiction

Clause

9.– The jurisdiction of the District of FORTALEZA – CEARÁ is elected to resolve disputes arising from this Contract, with the parties waiving any other jurisdiction, however privileged it may be.
